1. Drafting Partnership Agreements

A bespoke partnership agreement drafted from your actual commercial terms is worth considerably more than a downloaded template filled in with names. Templates are written generically, and generic terms fail on the specific questions that matter: what percentage of profits does each partner receive, what counts as a contribution to working capital, and what happens when one partner stops performing. We draft from the terms the partners have agreed and ensure the document covers every scenario the relationship is likely to face.

2. Profit and Loss Sharing Arrangements

The most common source of partnership disputes is a disagreement over how profits are split. Under the Partnership Act 1892 (NSW), where there is no written agreement, profits are divided equally regardless of how much each partner contributes. That default rule surprises most people. A well-drafted agreement specifies the exact profit and loss sharing ratio, how drawings are taken, and how that ratio can be varied if the partners’ contributions change over time.

3. Partner Buy-Out Clauses and Exit Provisions

What happens when a partner wants to leave? Without a buy-out clause, the answer is often a dispute about what the departing partner’s interest is worth and how it is to be paid. We draft exit provisions covering voluntary retirement, resignation on notice, removal for cause or non-performance, and what happens on the death or total incapacity of a partner. Each event needs its own mechanism, including a valuation methodology for the partnership interest and a payment timeline that does not cripple the ongoing business.

4. Removing a Non-Performing Partner

Partner underperformance is one of the most frequently raised issues in partnership disputes. One partner does the majority of the work. The other collects an equal share of the profits. If the agreement does not include an underperformance mechanism, the options are limited and often expensive. We draft provisions allowing partners to raise performance concerns formally, set benchmarks, and, if the issue is not resolved, trigger a buy-out of the non-performing partner’s interest at a defined price.

5. Partnership Dissolution

When a partnership is wound up, the terms of the dissolution matter as much as the operation of the partnership itself. What happens to existing client relationships? Who takes on the outstanding contracts? How are business debts allocated? Which partner retains the trading name and any intellectual property? We advise on dissolution planning and draft dissolution deeds that address these questions clearly, particularly where the partners intend to continue working in the same industry after the partnership ends.

6. Partnership Dispute Advice and Resolution

When a partnership dispute arises, the first step is to determine what the agreement says and whether the Partnership Act 1892 (NSW) changes that position. We advise partners on their legal rights, negotiate with the other side to find a commercial resolution, and represent clients in mediation and court proceedings where the dispute cannot be settled. One critical point: in a general partnership, partners are jointly and severally liable for the debts of the partnership. A dispute that involves outstanding business debts is not just a commercial problem. It is a personal liability issue that needs immediate legal advice.

What Every Partnership Agreement Should Address

Most partnership agreements fail not because they were poorly drafted but because they were never drafted at all. Where no written agreement exists, the Partnership Act 1892 (NSW) fills the gap with default rules that rarely reflect what the partners actually intended. The most important of these default rules is that profits and losses are shared equally, regardless of the work each partner puts in.
